1. Agreement & Acceptance of Terms
These Terms & Conditions ("Terms", "Agreement") constitute a legally binding agreement between Amveer Technologies ("Company", "we", "us", or "our"), located in Ahmedabad, Gujarat, India, and the client or website visitor ("Client", "you", "your"). By browsing this website, requesting a demo, signing a Statement of Work (SOW), or commissioning software development services, you agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
- Each specific project is governed by an executed Proposal, Quotation, or Statement of Work (SOW) referencing these Master Terms.
- In the event of a direct conflict between an executed SOW and these Terms, the specific terms of the executed SOW shall prevail for that engagement.
- Continued use of our website and services following any posted updates constitutes affirmative acceptance of the revised Terms.
2. Scope of Services & Project Delivery
Amveer Technologies provides bespoke Enterprise Resource Planning (ERP) software, Customer Relationship Management (CRM) solutions, custom web application development, mobile application engineering (iOS and Android), cloud deployment, and software consulting services.
- Deliverables and Milestones: Project deliverables, timelines, milestones, and acceptance criteria are outlined in your individual SOW.
- Change Request Management: Any requested additions, modifications, or scope expansions outside the agreed SOW will be evaluated through a formal Change Request (CR) specifying impact on cost and timeline.
- Phased Rollouts: For ERP and enterprise deployments, we follow modular, phased rollouts to ensure business continuity and minimize operational disruption.
3. Intellectual Property Rights & Source Code Ownership
We maintain clear, transparent intellectual property principles to protect both client investments and proprietary technology assets.
- Bespoke Client Deliverables: Upon full and final payment of all agreed project milestone fees, all proprietary rights, title, and interest in the custom code, database structures, designs, and assets specifically created for the Client are transferred to the Client.
- Pre-existing Frameworks & Amveer Core Modules: Amveer Technologies retains all right, title, and interest in its pre-existing libraries, proprietary software engines (including AmveerNexCore and CampusLite core engines), boilerplate code, and underlying frameworks. Clients receive a perpetual, non-exclusive, royalty-free license to use, modify, and run such components solely in connection with their project.
- Third-Party & Open-Source Software: Open-source libraries (e.g., React, PostgreSQL, Node.js packages) remain subject to their respective licenses (e.g., MIT, Apache 2.0).
4. Client Responsibilities & Collaboration
Successful project delivery depends on active collaboration between the Client and our engineering team.
- Asset & Information Access: The Client agrees to provide necessary logos, content, API credentials, server access, and business logic specifications in a timely manner.
- Timely Feedback: The Client shall review milestone deliverables and provide consolidated feedback within five (5) business days of submission to prevent schedule slippage.
- Point of Contact: The Client will designate a primary authorized Project Lead empowered to approve milestones, change requests, and staging builds.
5. Invoicing, Payment Terms & GST Compliance
All pricing quotes are denominated in Indian Rupees (INR) or specified foreign currencies (USD/EUR) as detailed in the applicable invoice.
- Milestone Payments: Invoices are issued upon milestone completion as structured in the project SOW (e.g., Advance Booking, UI/UX Prototype, Core Development, UAT, and Final Deployment).
- GST Compliance: Applicable Goods and Services Tax (GST) will be charged on all taxable supplies in India in accordance with statutory regulations. GST-compliant tax invoices will be furnished for ITC claims.
- Payment Terms: Invoices are payable within seven (7) calendar days of issuance unless otherwise stipulated in the SOW. Work on subsequent milestones may be paused if outstanding dues exceed the grace period.
6. User Acceptance Testing (UAT) & Go-Live
Upon completing development of agreed milestone features, Amveer Technologies will deploy the software to a staging or sandbox environment for User Acceptance Testing.
- UAT Period: The Client will have seven (7) business days (or the timeframe defined in the SOW) to test functionality against the approved requirements document.
- Sign-off: Written approval (or email confirmation) of UAT completion or deployment to production constitutes final milestone acceptance.
- Production Cutover: Final production migration, DNS configuration, and database seeding occur following UAT sign-off and milestone clearance.
7. 30-Day Bug-Fix Warranty & Maintenance
We stand behind the engineering quality of our deliverables with a dedicated post-launch warranty.
- Warranty Coverage: Amveer Technologies provides a complimentary thirty (30) day bug-fix warranty from the date of final production launch or UAT sign-off to resolve reproducible defects directly violating the agreed SOW specification.
- Exclusions: The warranty excludes bugs caused by third-party API changes, client server misconfigurations, unauthorized third-party code tampering, or unapproved operating system updates.
- Post-Warranty Maintenance: Following the warranty period, ongoing technical support, OS patches, feature additions, and security updates are provided via Annual Maintenance Contracts (AMC) or hourly support agreements.
8. Annual Maintenance Contracts (AMC) & Service Level Agreements (SLA)
For ongoing production support, clients may enroll in an Annual Maintenance Contract (AMC).
- Helpdesk & Support Hours: Standard AMC support operates Monday to Saturday, 9:00 AM to 8:00 PM IST.
- Priority SLA Response Times: Critical severity (system outage) issues receive a 4-hour initial response; high and medium severity tickets receive a response within 12 to 24 business hours.
- Routine Backups & Patches: Regular database backups, server monitoring, and dependency patch management are executed per AMC tier specifications.
9. Confidentiality & Non-Disclosure
Both parties agree to treat all business information, source code, customer records, pricing, and operational methodologies shared during the engagement as strictly confidential.
- Mutual Protection: Neither party will disclose Confidential Information to third parties without prior written consent, except to employees and contractors bound by equivalent confidentiality obligations.
- Standalone NDAs: We readily execute bilateral Non-Disclosure Agreements (NDAs) prior to discussing sensitive business architectures or trade secrets.
- Exceptions: Confidentiality obligations do not apply to information that is publicly known through no breach of this Agreement, already in recipient possession, or legally mandated to be disclosed.
10. Limitation of Liability & Disclaimers
To the maximum extent permitted by applicable law, Amveer Technologies shall not be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, revenue, data, or business interruption).
- Liability Cap: The total aggregate liability of Amveer Technologies arising out of or related to any project engagement shall be limited to the total fees actually paid by the Client to Amveer Technologies for the specific service module in dispute during the preceding three (3) months.
- Third-Party Services: We are not liable for outages, pricing shifts, or deprecations caused by third-party infrastructure providers (e.g., AWS, payment gateways, SMS gateways, WhatsApp Business API).
11. Suspension, Termination & Exit Handover
Either party may terminate an engagement for cause if the other party materially breaches this Agreement and fails to cure such breach within fourteen (14) days of written notice.
- Termination for Convenience: If a project is cancelled by the Client prior to completion, the Client is liable for payment of all work completed up to the date of notice plus non-recoverable commitments.
- Exit Handover: Upon settlement of all outstanding invoices, Amveer Technologies will provide an orderly transition, including transferring the latest source code repositories, databases, and assets.
12. Governing Law & Dispute Resolution
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of India.
- Good Faith Negotiation: In the event of any disagreement, the parties will first seek an amicable resolution through good-faith executive discussion within thirty (30) days.
- Exclusive Jurisdiction: If unresolved, the dispute shall be subject to the exclusive jurisdiction of the competent courts situated in Ahmedabad, Gujarat, India.
